Sutec, S.A. terms of sale
1. Purpose and scope
These terms exclusively govern the sales contract between Sutec, S.A. and the customer. Any order shall be understood as full acceptance of these terms, expressly excluding any other conditions not agreed upon in writing between the parties.
2. Orders, shipments, and force majeure
Orders may be placed through the officially designated channels of Sutec, S.A. The company reserves the right to reject any request depending on product availability.
Once the order is received in writing, the delivery times provided shall be considered indicative unless expressly agreed otherwise.
In the event of contingencies due to causes beyond Sutec, S.A.'s control (e.g., natural disasters, legal restrictions, or force majeure), delivery times may be extended for the duration of the cause without incurring any penalties. If the situation persists for a prolonged period, Sutec, S.A. reserves the right to cancel the pending supply, with prior notification to the customer.
3. Products and sizing
Sutec, S.A. distributes industrial hydraulic sector products, subject to availability and potential technical improvements.
The technical data, calculations, or recommendations provided are for guidance purposes only, based on the information supplied by the customer. The final responsibility for the suitability of the product for its needs lies with the purchaser, unless otherwise agreed in writing.
4. Offers, prices, and commercial terms
Proposals and offers communicated to the customer shall only be valid for the materials and items specified at the time of issuance.
Applicable prices shall be those in force at the time of order confirmation or, where applicable, at the time of delivery and may be subject to modifications due to changes in supplier costs.
Quoted prices do not include packaging, loading, unloading, or Value Added Tax (VAT), which shall be additionally charged to the customer.
A minimum invoice amount of €50 is established.
5. Transport, packaging, and risks
When the customer assumes transport management, Sutec, S.A.'s responsibility ceases upon delivery of the goods to the carrier.
If logistics are handled by Sutec, S.A., it shall be responsible until delivery at the destination, provided that any incident (damage, loss, etc.) is reported within 24 hours of receipt.
Costs related to packaging, loading, and unloading are not included in the quoted prices unless expressly agreed otherwise.
6. Payment terms and additional charges
Payment shall be made in Euros (€) within the agreed terms and conditions. By default, invoices shall be due 60 calendar days from the date of issuance.
In case of late payment, a default interest of 2% per month shall apply, without prejudice to Sutec, S.A.'s right to request additional guarantees or suspend future supplies.
Any bank charges associated with payment or non-payment returns shall be fully borne by the customer.
7. Warranties, claims, and repairs
Products distributed by Sutec, S.A. are covered by the corresponding manufacturer's warranty, typically for 12 months. Products designed and manufactured by Sutec, S.A. have a 12-month warranty.
In both cases, the warranty only covers manufacturing defects, starts from the date of delivery, and remains valid as long as the product has been used correctly and has not been altered without authorization.
8. Return policy
8.1. General conditions
The possibility of returning a product shall be evaluated on a case-by-case basis, as some items may not be eligible for return.
To be accepted, the product must retain its original packaging, must not have been tampered with or used, and must be in the same condition as when received.
The return request must be communicated in writing within 14 calendar days from the order's receipt.
Failure to notify in writing within the specified period shall be understood as unconditional acceptance of the product.
8.2. Return process
- The buyer must contact customer service (comercial@sutec.net), providing the order number, product brand and model, reason for the return, and, if applicable, supporting graphic documentation.
- Sutec, S.A. will analyze the request and inform the buyer whether the return is viable, providing the necessary instructions for its processing.
- The buyer must return the product following Sutec, S.A.'s instructions.
Unless otherwise agreed, the return shipping costs shall be borne by the customer.
8.3. Refunds
Once the return is approved and the product is received in proper condition, a refund shall be processed, or the product shall be replaced.
In certain circumstances, the refund or replacement may be subject to a restocking fee.
9. Exclusion of liability for indirect damages and patents
Sutec, S.A. shall not be liable for indirect or collateral damages (emerging damages, lost profits, etc.) arising from product defects or supply delays.
In case of claims related to potential patent infringements due to the manufacture or use of the products, the customer shall promptly notify Sutec, S.A. and assume, along with its associated costs, the necessary steps for clarification and potential resolution of the dispute.
10. Retention of title
The transfer of possession of the products shall be subject to retention of title, with ownership remaining with Sutec, S.A. until full payment has been made. The customer agrees to maintain the merchandise in optimal condition and to cooperate in facilitating collection in case of resale during its ordinary course of business.
11. Jurisdiction and applicable law
The parties agree that any dispute arising from the interpretation or execution of these conditions shall be definitively resolved before the courts of the registered office of Sutec, S.A., expressly waiving any other applicable jurisdiction. Furthermore, these conditions shall be governed by current Spanish law.
The potential invalidity or ineffectiveness of any clause shall not affect the validity of the remaining provisions.
